Relationship Agreement
This Agreement is made and entered into effective as of the 1st day of January 2023, by and between Global Bridge Associates LLC (GBA), a Wyoming limited liability company and the Recruitment Agency, a California limited liability company. GBA and the above named Recruitment Agency are each considered party to this Agreement.
Introduction
Global Bridge Associates LLC specializes in connecting international students with educational and cultural experiences in North America. Its programs include instructional placements, sports academies, and outdoor adventure camps, as well as business, legal, medical, entrepreneurship, and leadership workshops, all with English immersion. A major function of GBA is to provide international students with homestays during their time in North America.
In addition, GBA offers placements at universities and private and public day school programs with homestays and boarding schools.
The Recruitment Agency specializes in recruiting international students for educational and cultural experiences for which GBA will provide the homestay experience.
GBA and the Recruitment Agency agree to work together for the success of these international student experiences with a focus on providing effective homestays.
In consideration of the covenants and agreements hereinafter set forth and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, GBA and the Recruitment Agency hereto agree as follows:
1. Terms and Conditions
1.1. Global Bridge Associates LLC shall ensure that due care, skill, and judgment in accordance with the highest professional standards, principles and practices is exercised in providing homestay services to students. GBA warrants that it possesses and will use the specific skills and experience relevant to the homestay services.
1.2. Both Global Bridge Associates LLC and the Recruitment Agency have the right to promote this partnership within their existing client network and the wider community.
1.3. This is a non-exclusive agreement, and the Recruitment Agency shall have the right to work with other homestay providers of its choosing. the Recruitment Agency acknowledges Global Bridge Associates LLC’s commitment to achieving high standards for all those involved and its agreement to work with reputable providers offering similar standards.
1.4. the Recruitment Agency agrees that it will not solicit homestay hosts for use directly or share GBA homestay data with any other third party.
1.5. Global Bridge Associates LLC shall comply with all local and state government laws and regulations and with any other lawful requirement of authorities that in any way affect or are applicable to this Agreement.
1.6. All student contracts will be signed through GBA formatting, rather than the Recruitment Agency formatting.
2. Liability and Disclaimer
2.1. Global Bridge Associates LLC shall indemnify and hold the Recruitment Agency harmless against any liability, loss, costs, damages, attorney fees, and other expenses, which the Recruitment Agency may sustain or incur as a result of third-party claims against it arising from GBA’s operations and activities.
2.2. Likewise, the Recruitment Agency shall indemnify and hold GBA harmless against any liability, loss, costs, damages, attorney fees, and other expenses, which GBA may sustain or incur as a result of third-party claims against it arising from the Recruitment Agency’s operations and activities.
3. General
3.1. Any provisions of this Agreement which are held to be illegal or otherwise in conflict with any laws, statutes or regulations shall be deemed to be severed from the remainder of the Agreement and the validity of the remaining provisions shall not be affected.
3.2. Each party warrants that it has the power and authority to enter into this Agreement and that entry into this Agreement does not breach any existing contractual undertaking.
3.3. This Agreement constitutes the entire agreement between the parties as to its subject matter and supersedes and replaces all prior representations, agreements, and understandings in relation to that subject matter.
3.4. This Agreement may only be varied by the further written agreement of the parties.
3.5. GBA will ensure that it and its licensees carry appropriate insurance for the provision of services required by this agreement and that a copy of insurance certificates can be made available to the the Recruitment Agency on request.
3.6. Likewise, the Recruitment Agency will ensure that it and its licensees carry appropriate insurance for the provision of services required by this agreement and that a copy of insurance certificates can be made available to the GBA on request.
3.7 All references in this Agreement to any statutory enactment or law shall mean and be construed as references to that enactment or law as amended or modified or re-enacted from time to time and to the corresponding provisions of any similar enactment or law of any other relevant jurisdiction.
3.8. If a party to this Agreement consists of more than one person those persons shall be jointly and severally bound under this Agreement.
3.9. Either party may terminate this agreement at any time by providing a 30-day written notice to the other and settling any then accrued and outstanding financial and other liabilities. Any dispute, controversy or difference shall be resolved under the laws of the State of California. Termination of the agreement does not affect any agreement between GBA or the Recruitment Agency and a third party (including a student of the other’s agency).
4. Pricing and Compensation
4.1. Global Bridge Associates LLC student yearly program fees are listed below:
2023 - 2024 Student Homestay Service Fee: $26,000.00
2023 - 2024 Student Health Insurance: $1,300.00
2023 - 2024 Refundable Student Deposit - $1,000.00
4.2. A security deposit of $1,000.00 is to be collected for each student by GBA and may be retained for up to 45 days after departure at the end of the students term. The security deposit may be applied to a student’s outstanding telephone bills, breakage/damage and/or cleaning costs incurred by the student. To ensure return of the full amount, the student must settle all financial responsibilities with his/her hosts/roommates. GBA will not pay for any bank or currency exchange charges. These charges will be deducted from the security deposit refund.
4.3 The above-named Recruitment Agency’s commission beyond the GBA Student Homestay Service Fee is at the discretion of the Recruitment Agency. Global Bridge Associates LLC will honor the requested commission case by case, based on a submitted invoice that the Recruitment Agency will provide to GBA prior to GBA’s submittal of its fees to the international student’s family. The commission will be added to the fee charged to the student’s family and will be paid to the Recruitment Agency within seven (7) days after Global Bridge Associates LLC has received the student homestay payment in whole.
